The agreement between your organisation and Spyne — what we provide, what you are responsible for, and what happens when either side wants to stop.

The short version. Pay for what you use, keep your admin
accounts secure, and put only data you are allowed to process into Spyne. Your
data stays yours — you can export it any time, and we never delete it just
because a payment lapsed.
1. The agreement
These terms are an agreement between [Registered entity name], [Registered office address], Ahmedabad, Gujarat, India
("Spyne", "we", "us") and the organisation that signs up for an account ("you",
"your organisation"). By creating an account, subscribing, or using Spyne, you
accept them.
Whoever creates the account confirms they are authorised to accept these terms
on the organisation's behalf. Our privacy policy
forms part of this agreement.
2. What Spyne provides
Spyne is a hosted work operating system covering daily plans and task delivery,
attendance, leave, and payroll — including payslip generation, payroll history
and reports. We provide it as a subscription service over the internet; there is
no software for you to install or host.
Spyne is a tool, not an adviser. The payroll figures it produces
follow the rules and rates that you configure. We do not provide legal,
accounting, tax or HR advice, and you remain responsible for the correctness of
your statutory deductions and filings. Check the numbers before you pay anyone
on them.
3. Accounts and access
The person who signs up becomes the first administrator of your organisation's account and can invite everyone else.
Each person must have their own account. Do not share sign-in credentials — an audit trail is worth nothing if two people share a login.
You are responsible for everything done under your organisation's accounts, and for keeping credentials secure. Tell us promptly at hello@spyne.app if you suspect unauthorised access.
Administrators can deactivate a person's access at any time; deactivating an account does not delete the records attached to it.
4. Free trial
New organisations get a 14-day free trial with every feature enabled. No card is required to start it.
When the trial ends, access is blocked until a subscription starts. Nothing is deleted at that point — your data is waiting when you subscribe.
We may end or shorten a trial that is being used to abuse the service, and we may limit organisations to one trial.
5. Subscription and billing
Spyne is sold as the plans below. Every feature is included in each;
the team sizes are guidance for choosing a plan, not a limit we enforce.

Dollar prices are the price, not a conversion of the rupee one. Card billing outside India is not live yet, so USD customers are invoiced directly until it is.
Prices are exclusive of GST and any other applicable taxes, which are added where required.
Payments are processed by Razorpay. By subscribing you also accept Razorpay's terms for the payment itself. We never see or store your card details.
Subscriptions renew automatically at the end of each billing period until cancelled, at the price then in effect for your plan.
Access is granted when the payment is confirmed by the payment provider, not when checkout is submitted.
If a renewal payment fails, the provider will retry. If it keeps failing, access is blocked until payment succeeds. Your data is not deleted.
We may change prices with at least 30 days' notice by email to your administrators. A change never applies to a period you have already paid for, and existing subscriptions keep their current price until they renew.
6. Cancellation and refunds
You can cancel at any time from your billing settings, or by writing to us. Cancellation stops the next renewal.
Cancelling takes effect at the end of the period you have already paid for; you keep access until then.
Fees already paid are non-refundable, including for partial months or unused seats, except where the law requires a refund or where we have failed to provide the service. [Refund policy — confirm before launch.]
You can request an export of your data at any time before or after cancelling. See Your data.
7. Your responsibilities
Lawful basis. You are the employer. Ensure you are entitled to collect and process the employee data you put into Spyne — including identifiers such as Aadhaar and PAN, bank details, attendance locations and IP addresses — and that you have told your employees what you collect and why.
Accuracy. Salary structures, deduction rules, holiday calendars and attendance corrections are yours to maintain. Spyne calculates from what you enter.
Reviewing payroll. Review payslips before issuing or emailing them. Once issued, a payslip is an immutable snapshot; corrections are made by regenerating with a recorded reason, which leaves an audit trail on purpose.
Statutory compliance. Your obligations under Indian labour, payroll, tax and data protection law remain yours.
Access hygiene. Grant administrator rights only to people who need them, and remove access when someone leaves.
8. Acceptable use
You agree not to:
Break the law, infringe anyone's rights, or use Spyne to harass or harm people.
Upload malware, or attempt to gain unauthorised access to Spyne, other customers' data, or the infrastructure it runs on.
Probe, scan or load-test the service without our written permission, or interfere with its normal operation.
Resell, sublicense or provide Spyne as a service to a third party without our agreement.
Reverse engineer or copy the service, except to the extent the law expressly permits.
Circumvent access controls, usage limits or the subscription gate.
Responsible security research is welcome. Report anything you find to
hello@spyne.app and give us a
reasonable chance to fix it before disclosing it.
9. Your data
You own it. Everything your organisation puts into Spyne stays yours. We claim no ownership of it.
We process it on your instructions, to provide and support the service, and as described in our privacy policy. We do not sell it, and we do not use it to train machine learning models.
Tenant isolation. Every record belongs to one organisation, and requests are scoped to the signed-in user's organisation. One customer cannot see another's data.
Export. Administrators can export records as CSV at any time. Ask us if you need a fuller export, and we will help.
Deletion. Ask us to delete your organisation's data after termination and we will, within the period in our privacy policy, except where law requires us to keep financial records.
Backups. We take regular backups for disaster recovery. Deleted data may persist in a backup for a limited period before it is overwritten.
Feedback. If you send us suggestions, we may use them to improve Spyne without owing you anything for it.
10. Our intellectual property
Spyne, its software, design, documentation and brand belong to us and our
licensors. Your subscription is a non-exclusive, non-transferable right to use
the service while it is paid for and these terms are being followed. Nothing here
transfers ownership of it to you.
11. Availability and support
We aim to keep Spyne available and to keep planned maintenance short and outside Indian business hours where we can. We do not currently offer a contractual uptime guarantee. [Add an SLA here if one is agreed.]
Support is by email at hello@spyne.app, typically answered within one business day, Monday to Friday, Indian Standard Time.
We may need to suspend the service briefly for urgent security or maintenance work. We will give notice where it is safe to do so.
12. Suspension and termination
You may stop using Spyne and cancel at any time.
We may suspend access if payment fails, if these terms are seriously or repeatedly broken, or if we must to protect the service or other customers. We will tell you why, and what to do to restore access.
Either side may terminate for material breach that is not fixed within 30 days of written notice.
Suspension is not deletion. Blocked access leaves your data intact so it can be restored or exported. Deletion happens only on request, or after the retention period in our privacy policy.
Sections that by their nature should survive termination — data ownership, intellectual property, liability, indemnity and governing law — do.
13. Warranties
We provide Spyne with reasonable skill and care. Beyond that, and to the extent
the law allows, the service is provided "as is" and we make no other warranty —
express or implied — including any implied warranty of merchantability, fitness
for a particular purpose, or that the service will be uninterrupted or error
free. Nothing in these terms excludes liability that cannot lawfully be excluded.
14. Limitation of liability
To the extent the law allows, neither side is liable for indirect or
consequential loss, or for loss of profit, revenue, goodwill or anticipated
savings, however it arises.
Our total liability arising out of or in connection with this agreement, in any
twelve-month period, is limited to the fees you paid us for the service in the
twelve months before the claim arose.
These limits do not apply to your obligation to pay fees, to either side's
liability for fraud, or to anything else that cannot lawfully be limited.
15. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from
your use of Spyne in breach of these terms or the law — in particular claims
brought by your employees or a regulator about data you put into Spyne without a
lawful basis for doing so.
16. Changes to the service and these terms
We improve Spyne continuously, so features change. We will not remove a
significant feature you rely on without reasonable notice.
We may update these terms. The "last updated" date at the top always reflects the
current version, and for material changes we will email your administrators at
least 30 days beforehand. Continuing to use Spyne after a change takes effect
means you accept it; if you would rather not, you can cancel before then.
17. Governing law and general
These terms are governed by the laws of India, and the courts of Ahmedabad, Gujarat, India have exclusive jurisdiction.
If a provision is held unenforceable, the rest stays in force.
Not enforcing a right straight away does not waive it.
You may not assign this agreement without our written consent. We may assign it as part of a merger or sale of the business, on notice to you.
Neither side is liable for failure caused by events outside its reasonable control.
These terms, together with the privacy policy, are the entire agreement between us on this subject and replace any earlier understanding.
